Company Administration

There is a myriad of statutory obligations and rules that a company must comply with, as set out by the Companies Act 1993.
This legislation leads to many administrational tasks that can take up a lot of valuable time.  The last thing you need as a business owner is to be stressed out trying to ensure you comply with all the rules.  The potential threat of penalties for failing to keep up with the changing rules is too great a risk to take. We can help you through this maze of compliance with things like:
  • General advice on company law
  • Forming/setting up your company - we can reserve your chosen company name and then once approved by the Companies Office, complete the incorporation of your new company.  We can ensure your company is set up as the correct entity, whether it be Qualifying or Loss Attributing Qualifying (LAQC).
  • Ongoing Company Administration - we'll set up and maintain your Company Minute Book with all the associated Registers that need to be included.  When you make changes to shareholdings, directorships or complete "major transactions", we'll reflect these changes in the mandatory Minute Book as well as updating the Companies Office online register.   We'll keep copies of your associated "minutes" and any Dividend or Distributions that may have taken place
  • Annual Company Administration and Financials - we can file your Company Annual Return for you with the Companies Office, as well as completing an annual compliance check on your company documentation
  • Winding up your company - we'll arrange to have your company ceased and removed from the Register
 
Trust Administration

Times are constantly changing and Trusts have long gone from being a simply entity to administer.
Newly introduced legislation is creating a compliance regime similar to that of Companies.
As well as the extra time it now takes to ensure that the Trust is compliant,  there is the risk that poor trust administration may lead to serious problems for both trustees and beneficiaries.

With the main aim of a Trust being to protect your assets for future generations - Trust Administration is a vitally important task.
Things that could cause problems are:
  • Annual gifting of Settlors' loans not completed- meaning that some trust assets might not be fully protected - defeating the whole purpose of a Trust!
  • Trust minutes not completed - failure may lead to disputes between trustees and beneficiaries - causing expensive legal litigation
  • Lease documentation not on file or current - meaning the leasing arrangement could be challenged by the IRD or a disgruntled beneficiary
  • Registers regarding Trustees, Beneficiaries, significant events and gifting programmes not properly maintained - could lead to problems in establishing the true position of the trust - especially when attempting to wind it up and distribute assets to the beneficiaries!
  • No Settlors' Memorandum of Wishes - this is the blueprint for governance of the trust to make sure the intent of the settlors who established the Trust.  Without this, trustees may misinterpret the trust's purpose

We've developed a trust risk review process which we strongly recommend for all trusts.  Our review address' many of the above concerns and provide a "warrant of fitness" of your trust documentation and administration.

 
ACC

By allowing us to become your ACC agent, we can access your ACC information directly with them on your behalf. 
This means that we can easily assist you with your ACC queries and ensure that you are on the correct ACC code and therefore are being charged the correct ACC levy.
It could be that you need different rates for different partners, or need an evaluation of the most appropriate cover.

We'll take the confusion out of ACC whilst trying to minimise the premiums you're required to pay.
